Clas Ohlson has agreed to acquire 70% of Phonelife AB and 70% of Reservdelaronline Sverige AB, moves aimed at strengthening its position in fast-growing categories such as consumer electronics, accessories and spare parts. Management said the deals will broaden the range under well-known channels including Teknikmagasinet and help the group progress its ambition to build a more sustainable, repair‑friendly retail model. Both transactions will be added to subsidiary Spares Nordic AB, with current leadership teams continuing to run the businesses as independent units under a decentralised structure.
Phonelife, founded in 2012, has expanded rapidly, particularly following its 2024 purchase of Teknikmagasinet. It employs around 30 people and forecasts 2025 net sales of SEK 207 million with adjusted EBITA of SEK 18.4 million. The company lists some 26,000 products across technology and accessories, selling via Phonelife and Teknikmagasinet in Sweden, Norway, Finland, Denmark, Germany and the Netherlands. Reservdelaronline, operating under its current model since 2017, focuses on spare parts, primarily for garden machinery and lawnmowers, with about 8,000 items online and access to over 100,000 additional lines to order. It projects 2025 revenue of SEK 59 million and EBITDA of SEK 7.5 million, with a team of seven.
Deal structures involve an initial 70% purchase with options for the remaining 30% after three years. Phonelife is valued at roughly SEK 184 million enterprise value, equating to around 10x EV/EBITA including estimated earn‑out for late 2025; the balance is to be acquired at 10x 2028 EBITA. Reservdelaronline carries an enterprise value of about SEK 45 million, or 6x EV/EBITDA, with the remainder to be bought at 8x 2028 EBITDA. Both acquisitions are cash‑funded and scheduled to complete on 25 November 2025. Executives expect the purchases to lift earnings per share from day one, reflecting the target firms’ profitable growth and the strategic fit with Clas Ohlson’s repair and sustainability focus.
